Terms of service
These terms are an agreement between you and Vantry LLC ("Hashmark", "we") for using Hashmark at usehashmark.com and its apps. By creating an account or using Hashmark, you agree to them. If you use Hashmark for a club, school or team, you agree for that organization too, and you confirm you're allowed to.
1. What Hashmark is
Hashmark is software for football coaches to build playbooks, call sheets and wristbands, plan practice, scout opponents, and log plays and stats on game day, and to share that work with their staff and players. Some features listed on our plans are marked "coming"; they are not part of what you pay for until they are released.
2. Accounts
- You need an account to use Hashmark, except to look around the sample team. Give a real email address you can read, and keep your password and sign-in codes to yourself.
- You must be at least 13. Players aged 13 to 15 need a parent or guardian's approval, and every member needs a coach's approval or a personal invite to join a team.
- You're responsible for what happens under your account. Tell us straight away at [email protected] if you think someone else is using it.
3. Teams, owners and roles
- The person who creates a team is its owner. The owner (and any co-owners) manage billing and can hand ownership to someone else.
- Owners and coaches decide who joins and what role each person has. What a role can see and change is set by Hashmark and may improve over time.
- The team is responsible for the people and information it adds: having the right to add players' names and records, getting any consents the law requires (for example from parents), and keeping injury and absence notes short and free of diagnoses.
4. Your content stays yours
Your plays, playbooks, drawings, rosters and records ("your content") belong to you or your team. You give Hashmark permission to store, copy, display and process your content only to run Hashmark for you, for example to save it, back it up, show it to the people your team allows, and print or export it. We don't use your playbook for anything else, and we don't show it to other teams, except plays you choose to share with the community (section 5).
You can export a full copy of your playbook at any time, including after a trial ends or a plan stops.
5. Plays you share with the community
Hashmark has a play bank: starter plays from Hashmark, and plays coaches choose to share. Sharing is off for every play until you turn it on for that play.
- You can share it. When you share a play, you confirm that it's yours to share: you drew it, or you have the right to share it. It must not hold anyone's personal information, or anything rude or unlawful.
- Other coaches can use it. You give every Hashmark user a free, worldwide and permanent permission to add a copy of the play to their own playbook, and to use, change, print and share their copy with their team. You also give Hashmark permission to show the play in the play bank. The play itself stays yours.
- You can take it back. Stop sharing a play at any time and it leaves the play bank right away. Copies coaches already added stay theirs to keep and change.
- We can remove plays. We may hide or remove any shared play at any time, for example one that is reported, isn't a football play, or breaks these terms. We don't check shared plays before they appear and we aren't responsible for them, so use your own judgment with what you add.
- Starter plays. Hashmark's starter plays are free to add, change and use with your team. Don't copy the play bank as a whole to sell or publish somewhere else.
6. Reporting a shared play (notice and takedown)
This section explains how we handle reports about shared plays, as the EU Digital Services Act (DSA) and the US Digital Millennium Copyright Act (DMCA) require. Our point of contact for users and authorities is [email protected], in English or French.
How to report
- In Hashmark: a signed-in coach can press Report on any shared play, for example because it isn't a football play, is rude, copies someone else's work without permission (copyright), or has someone's private information in it.
- By email (anyone, with or without an account): write to [email protected] with "Report a shared play" in the subject. Tell us which play (its call and side, or a screenshot), why you think it is illegal or breaks these terms, your name and email, and that you believe in good faith that what you send is accurate and complete.
- Copyright notices (DMCA): also include a description of the work you say is copied; a statement that you believe in good faith the use is not allowed by the owner, its agent or the law; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or allowed to act for the owner; and your physical or electronic signature. Send it to Vantry LLC, Attn: Copyright, 2524 Van Beek Road, Green Bay, WI 54311, USA, or to [email protected].
What we do
- We confirm we got your report and look at it promptly, carefully and fairly. A play reported in Hashmark by 3 different coaches is hidden automatically until we look at it; every other decision is made by a person.
- If the play is illegal or breaks these terms, we hide or remove it. We tell the coach who shared it what we did and why, and we tell the person who reported it what we decided.
- We close the accounts of people who share infringing or illegal plays again and again. We may stop handling reports from someone who keeps sending reports that are clearly unfounded.
If your play was removed (counter-notice)
- Email [email protected] within 6 months of our decision and tell us why you think it was a mistake. A person who wasn't part of the first decision looks at it again, and we tell you the result. In the EU you can also go to a certified out-of-court dispute settlement body, or to court.
- For a play removed after a copyright notice, your counter-notice must include: which play was removed; a statement, under penalty of perjury, that you believe in good faith it was removed by mistake or misidentification; your name, address and phone number; that you accept the jurisdiction of the federal court for your address (or, outside the United States, any court where Vantry LLC may be found) and will accept service from the person who sent the notice; and your physical or electronic signature. We send it to the person who sent the notice, and we may put the play back after 10 to 14 business days unless they tell us they have gone to court.
7. Acceptable use
Don't use Hashmark to break the law; upload anything you don't have the right to; harass anyone; get into accounts or teams that aren't yours; probe, overload or attack the service; or copy, resell or rebuild Hashmark itself. We may suspend accounts that do, and we tell you why unless the law or safety says otherwise.
8. Plans, trial and payment
- Plans and prices are on our home page and on the refunds and cancelling page: Individual ($50 a year or $10 a month) and Team ($150 a year or $30 a month), or the same amounts in euros in euro countries. Taxes are added where the law requires.
- Each person gets one 14-day free trial on their first team. Choosing a plan during the trial charges nothing until the trial ends.
- Plans renew automatically each month or year until cancelled. Payments are handled by Stripe; by paying you also agree to Stripe's terms.
- If a payment fails, Stripe tries again for a few days. If it still fails, the team becomes read-only until it is paid. Nothing is deleted.
- If we change prices, we tell owners at least 30 days before it applies to their next renewal.
9. Cancelling and refunds
Cancel any time in Manage billing; the plan keeps working until the end of the period already paid. If you ask within 14 days of any charge, we refund that charge in full. Consumers in the EU and UK also have a legal right of withdrawal. The details are on the refunds and cancelling page, which is part of these terms.
10. Ending an account or team
You can delete your account, or an owner can delete a team, at any time in Hashmark. We may close an account that breaks these terms, after telling you, or straight away for serious abuse. If we ever stop offering Hashmark, we give at least 60 days' notice, refund any unused prepaid time, and keep export available until the end.
11. Availability
We work to keep Hashmark running and your data backed up, and Hashmark keeps working on a device with no signal, once it has been opened on that device. Still, the service can sometimes be down or have mistakes, and you should check anything that matters on game day. Keep your own exports of anything you can't afford to lose.
12. Warranty and liability
Hashmark is provided "as is" and "as available". As far as the law allows, we make no other promises, including that it fits a particular purpose or never has errors. Hashmark helps coaches decide; the decisions on and off the field are yours.
As far as the law allows, we are not liable for indirect or consequential losses (for example lost games, lost profits or lost data you could have exported), and our total liability for any claim is limited to what you paid us in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law, or takes away rights consumers have where they live.
Consumers in the EU and UK: you keep your statutory rights for digital content and digital services, including the legal guarantee that Hashmark matches what we describe and works as it should (in the EU, Directive (EU) 2019/770 and, in France, articles L. 224-25-1 and following of the Code de la consommation; in the UK, the Consumer Rights Act 2015). The "as is" wording and the limits above do not reduce those rights.
13. Privacy
How we handle personal information is in our privacy policy.
14. Processing on behalf of teams
Coaches enter information about their players and staff: names, numbers, positions, attendance, injury and absence notes, grades, quiz scores, stats and what members send to the coaches. For that information the team (the club, school or coach who runs it in Hashmark) is the "controller" and Vantry LLC is the "processor" that handles it on the team's behalf. This section is the data processing agreement between the team and Vantry LLC (GDPR Article 28 and the UK GDPR):
- What and how long: storing, showing, backing up and sending the team's information so the team can use Hashmark, for as long as the team uses Hashmark. The people concerned are the team's coaches, staff and players (and, for players aged 13 to 15, a parent's email and answer).
- Only on the team's instructions: we use the information only to run Hashmark as these terms and the team's own settings describe, unless the law requires otherwise (we tell the team first, if the law allows). We tell the team if we think an instruction breaks data protection law.
- Confidentiality: only people who need to, to run Hashmark, can reach the team's information, and they are bound to keep it confidential.
- Security: encryption in transit, database rules that limit each person to their own teams and role, hashed passwords and regular backups.
- Other companies (sub-processors): the team authorizes the companies listed in our privacy policy. We bind each one to the same data protection duties, and we stay responsible for them. We tell owners before we add or replace one; an owner who objects can cancel and get a refund of unused prepaid time.
- Help with requests and breaches: we help the team answer people who ask to see, correct or delete their information, and with security and impact assessments. We tell the owner without undue delay if a breach affects the team's information.
- At the end: the team can export its playbook at any time. When a team is deleted, its records and files are deleted, and backups expire within 30 days, unless the law requires us to keep something.
- Checks: we give the team the information it needs to show it follows the law, and we answer reasonable written audit questions, sent to [email protected], once a year or after a breach.
- Transfers: information that leaves the EU or UK is protected by the European Commission's Standard Contractual Clauses (and the UK addendum) or the EU-US Data Privacy Framework.
15. Other companies' names
Hashmark is not affiliated with, endorsed by or sponsored by Hudl, Microsoft (Excel, Word), Google, YouTube, Vimeo, Apple, Stripe or any other company whose products we name. Those names are trademarks of their owners, used only to say what Hashmark works with.
16. Changes to these terms
We may update these terms. If a change matters, we tell owners by email or in Hashmark at least 30 days before it takes effect. If you don't agree, you can cancel before then, and we refund any unused prepaid time.
17. Law and disputes
These terms are governed by the laws of Wisconsin, United States, without regard to its conflict-of-law rules. Disputes go to the courts of Wisconsin, unless the law where you live as a consumer gives you the right to bring them in your own courts. If you are a consumer living outside the United States, you also keep the protection of the mandatory laws of the country where you live. Please write to us first: most problems are solved quickly by email.
